These Terms & Conditions govern your access to and use of websites, learning platforms and online services operated by Paseda Group Ltd, including those associated with PasedaCoach, PasedaLeader and the Paseda360 methodology (“our sites”).

Paseda Group Ltd is the company behind PasedaCoach and PasedaLeader and the owner and developer of the Paseda360 methodology.

Please read these terms carefully before using our sites.

1. Acceptance of these terms

By accessing or using our sites, you agree to be legally bound by these Terms & Conditions from your first use.

If you do not agree to these terms, please do not use our sites.

These website terms relate to the use of our sites and online content. Where you purchase or participate in a particular programme, course, coaching service, event or other service, additional terms may apply. Where there is any conflict, the specific terms relating to that product, programme or service will take precedence.

2. Changes to these terms

We may update these Terms & Conditions from time to time, including to reflect changes to our business, services or legal obligations.

The latest version will be published on our sites and the date at the top of this page will show when the terms were last updated.

Your continued use of our sites following an update will constitute acceptance of the revised terms.

Use of Our Sites

3. Permitted use

Our sites and the materials available through them are provided for your personal or legitimate business use, depending upon the service or content being accessed.

Unless we have expressly given you permission, you may not:

• copy;

• reproduce;

• republish;

• distribute;

• sell;

• licence;

• download for redistribution;

• broadcast;

• transmit;

• publicly display;

• adapt;

• modify;

• create derivative works from; or

• otherwise commercially exploit

any content, materials, models, methodologies, training resources or intellectual property available through our sites.

Downloading or using materials for your own learning or participation in a programme does not transfer ownership of those materials or grant you a wider licence to reproduce, teach, distribute or commercially exploit them.

Any use outside the permissions expressly provided by us requires prior written permission from Paseda Group Ltd.

4. Acceptable use

You agree to use our sites only for lawful purposes and in a way that does not:

• infringe the rights of another person or organisation;

• restrict or inhibit another person’s use of our sites;

• interfere with the operation or security of our sites;

• attempt to gain unauthorised access to any system, account or data;

• introduce viruses, malware or other harmful technology;

• transmit unlawful, defamatory, abusive, threatening, obscene or offensive material; or

• use our content or services for fraudulent, misleading or unlawful purposes.

We reserve the right to restrict or remove access where we reasonably believe these terms have been breached.

Learning Platforms and Account Access

5. User accounts

Some PasedaCoach programmes, resources and services may require access to an online learning platform or password-protected area.

Where you are provided with login details, your account is personal to you.

You must not:

• share your login details with another person;

• allow another person to access paid or restricted materials using your account;

• reproduce or distribute restricted learning content; or

• attempt to provide unauthorised access to any part of our learning environment.

You are responsible for keeping your login details secure and should notify us if you believe your account has been accessed without your permission.

We may suspend or terminate access where there has been a breach of these terms or any separate programme terms applying to your participation.

Intellectual Property

6. Ownership of our intellectual property

Unless otherwise stated, all intellectual property rights in our sites, learning environments, programmes, training materials, written content, graphics, videos, models, methodologies and other materials belong to Paseda Group Ltd, its licensors or the relevant third-party owner.

This includes intellectual property associated with Paseda360, PasedaCoach and PasedaLeader, together with our proprietary coaching methodologies, frameworks, models, techniques, programme content and associated materials.

Certain names, models, techniques and programmes are also protected by registered trademarks or other intellectual property rights.

Nothing in these terms transfers ownership of our intellectual property to you.

7. Training and methodology materials

Participation in a PasedaCoach programme does not automatically give you unrestricted rights to teach, train others in, reproduce, licence, distribute or commercially exploit Paseda Group intellectual property.

Where certification, practitioner status or a separate Licence to Practice grants you particular rights to use elements of our methodology or intellectual property professionally, those rights are governed by the terms of the relevant licence and/or programme agreement.

Any rights granted are limited to those expressly set out in the relevant agreement.

Accuracy and Availability

8. Website information

We take reasonable care to ensure that information published on our sites is accurate and up to date.

However, website content is provided for general information and may be changed without notice.

We do not guarantee that all information on our sites will always be complete, accurate or current.

Information provided through our sites should not be treated as medical, psychological, legal, financial or other regulated professional advice unless expressly stated otherwise.

9. Availability of our sites

We aim to keep our sites and learning environments available and functioning effectively, but we cannot guarantee uninterrupted or error-free access.

We may occasionally need to suspend, withdraw, update or restrict access to all or part of our sites for maintenance, security, technical or operational reasons.

We do not guarantee that our sites, servers or downloadable materials will always be free from viruses, bugs or other harmful components. You are responsible for using appropriate security and virus-protection software.

Liability

10. Limitation of liability

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to this, and to the fullest extent permitted by law, Paseda Group Ltd will not be responsible for indirect or consequential losses arising solely from your use of, or inability to use, our sites.

Where you are using our sites in connection with a business, we will not be liable for loss of profits, sales, business, revenue, anticipated savings, business opportunity, goodwill or reputation arising from use of our sites except where liability cannot legally be excluded.

Nothing in these website terms affects any statutory rights you may have as a consumer.

Contributions and User Content

11. Content you provide to us

Where our sites allow you to submit or upload content, including text, photographs, graphics, video, audio, comments or other materials, you confirm that:

• you have the right to provide that content;

• the content does not infringe another person’s intellectual property or privacy rights;

• the content is not defamatory or unlawful; and

• providing the content does not breach any obligation you owe to another person or organisation.

You retain ownership of intellectual property rights in your original content.

Where necessary for us to provide the relevant service, you grant Paseda Group Ltd a non-exclusive, royalty-free licence to store, process, reproduce and display that content for the purposes for which it was submitted.

We will handle personal information contained within submissions in accordance with our Privacy Policy.

We will not treat the submission of client work, assessments or other learning materials as granting us an unrestricted right to use that content publicly for marketing purposes.

Third-Party Websites and Services

12. External links

Our sites may contain links to websites, platforms or services operated by third parties.

These links may be provided for convenience or to support the services we provide. We do not control third-party websites and are not responsible for their content, availability, security or privacy practices.

Your use of a third-party website or service may be subject to that provider’s own terms and privacy policy.

Privacy

13. Personal information

Our collection and use of personal information is governed by the Paseda Group Ltd Privacy Policy.

Our Privacy Policy applies across PasedaCoach, PasedaLeader and the relevant Paseda360 services and explains how we collect, use, share and protect personal information.

General

14. Separate programme and service terms

These terms govern use of our websites and online environments.

Separate Terms & Conditions, contracts, licences or agreements may apply when you:

• purchase or participate in a PasedaCoach programme;

• undertake coaching or leadership development through PasedaLeader;

• attend an event or workshop;

• become certified to practise using particular Paseda360 methodologies;

• enter into a Licence to Practice; or

• purchase another product or service from Paseda Group Ltd.

Those specific terms form part of your agreement with us in relation to the relevant product or service.

15. Severability

If any provision of these terms is found to be unlawful, invalid or unenforceable, that provision will be treated as removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

16. Failure to enforce these terms

If we do not immediately enforce a right or provision under these terms, this does not mean that we have waived that right or prevent us from enforcing it later.

17. Governing law

These Terms & Conditions and any dispute or claim arising from your use of our sites are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights you may have as a consumer to bring proceedings in another part of the United Kingdom.
